1.1 Subscription is billed and paid either monthly, quarterly, or annually.
1.2 Subscription is paid net cash with a 14-day deadline for payment.
1.3 An invoice will be sent prior to payment due.
1.4 If a 1-month free trial has been arrange the deadline for payment is extended from 14 days to 1 month.
1.5 The amount due can be paid by electronic transfer as noted.
2.1 panelDrive® services may not be used independently of the panelDrive® platform in the sense that if the customer wants to stop the subscription period at the termination of the binding period, login and hosting will be deactivated, and hosting of customer solutions, platform and additional features developed by panelDrive®, will cease at that time to be available to the customer.
2.2 Customer supplied materials such as graphics, text, etc. are owned by the customer and not disseminated to third parties by panelDrive®.
2.3 panelDrive® functions are based on Open Source, but the tools are exclusive and proprietary developed by panelDrive®, and therefore the customer receives no property rights by using these during the subscription period.
2.4 Customer implicitly agrees by entering into this contract that panelDrive® manages, uses, and obtain database information. panelDrive® may use this information even after any termination of the agreement, in order to be able to handle the client's target market analyses.
2.5 A subscription with panelDrive® covers a complete setup of panelDrive® platform, potentially with set-up of additional tools.
2.6 Any ordering of products and services from panelDrive® is done with the customer's consent, expressed by acceptance via the Internet. It is not possible to subscribe without accepting the current terms and conditions for sales and delivery.
2.7 A subscription may be attached to one company with a VAT number and only one address.
2.8 The subscription covers only one legal entity.
2.9 Therefore chains and subdivisions, among others, must enter into a special customer agreement with panelDrive®, a chain agreement, and thus obtain a benefit program thereby.
3.1 The subscription cannot be cancelled during the selected time period.
3.2 The subscription can be terminated at anytime.
4.1 The customer has 14 days right of return after the purchase of the services.
4.2 This resource is a service covered by the Danish Consumer Contracts Act §18 section 4, which means that the right of return lapses as soon as the service is started. The right of return therefore lapses when the customer first logs into panelDrive® platform.
4.3 If the customer wishes to cancel the purchase, the customer must give notice to the address below within 14 days of ordering
5.1 When ordering services and using cloudapplications from panelDrive®, the customer accepts these terms and conditions. Acceptance is done by tick-off during online registration.
5.2 panelDrive® has the right to change these terms and conditions.
5.3 The customer shall at all times keep ajour with current business terms and conditions detailed at www.panelDrive.com/terms
6.1 All content presented on panelDrive® website and software is owned by panelDrive®. This applies to design, text, functionality and overall impression, unless the content is supplied by the customer or reseller.
6.2 If you wish to quote or otherwise mention panelDrive®, please obtain prior written permission from panelDrive®.
7.1 panelDrive® has developed a subscription service for setup and maintenance of administration, which includes offering proprietary additional tools as part of the subscription plan.
7.3 Beyond this panelDrive® has no obligations towards the customer.
8.1 By registering for subscription (customer agreement), the client will supply accurate information about identity and validity, and ensure that customer information is truthful.
8.2 If the customer neglects to pay an invoice from panelDrive®, the customer agrees even now that the setup of panelDrive® services may be temporarily unavailable, and that the use of panelDrive® software no longer will be available.
8.3 If the event abuse still happens, it is the customer's responsibility and obligation to repay panelDrive® the amount in question so that panelDrive® is in an unchanged position.
9.1 All prices are listed in USD, and are exclusive of VAT.
9.2 Changes in exchange rates, taxes, insurance, net price index, freight and purchase costs results in panelDrive® being able to adjust prices so that panelDrive® is in an unchanged position.
9.3 The customer pays by electronic transfer or by credit card no later than the last due date for payment.
10.1 panelDrive® may collect ongoing information about user behavior when the client and other users use panelDrive®’ website or software.
10.2 Data collection is anonymous and used only for the purpose of optimizing services and features of the platform.
11.1 By registering with panelDrive® you confirm that you are not in competition with panelDrive® or work for companies that are in competition with panelDrive®.
11.2 All software, design, architecture, text are protected by copyright, while names and proprietary terms are trademarks used.
11.3 panelDrive® is well on its way to becoming a registered trademark. The process was initiated in October 2014 and will therefore be listed in the Patent and Trademark Office.
11.4 panelDrive® may assign its' obligations to 3rd parties under the same terms.
12.1 All payments from the customer to panelDrive® initially take place as electronic funds transfer, or as automatic advanced payment when the customer registers a payment card.
12.2 If payment is not made by the date set for payment, this could lead to additional recovery costs being incurred, including interest and penalty charges.
12.3 In case of delayed payment, interest for late payment is added from the due date at 2% each month.
12.4 Recovery may be initiated without prior notice.
12.5 If the matter as part of the collection process is handed over to a lawyer, the lawyer or panelDrive® may require additional collection costs.
12.6 Failure to abide by the terms and conditions of panelDrive® is cause for immediate termination of the business relationship. panelDrive® has the right to terminate the customer's access to panelDrive® software, including additional features, if payment is late or if the customer otherwise breaches the contract.
13.1 panelDrive® accepts no liability for programming errors or server crashes.
13.2 In the event of updating software or equipment panelDrive® has the right to block access for a limited period, which will typically happen at a time when the fewest possible customers will be affected by this.
13.3 Access to panelDrive® platform is under continuous development and panelDrive® grants access to the platform as presented and without warranty.
13.4 panelDrive® cannot be held responsible for direct or indirect losses, which have occurred in connection with the use of panelDrive® setup, software or features.
13.5 panelDrive® is also not responsible for malicious cyber attacks against panelDrive®, viruses or other force majeure.
13.6 It is the responsibility of the customer to ensure that all data transferred between the client and panelDrive® is stored with the customer so that the data can be reinstalled in the event of data loss at panelDrive®.
13.8 It is the responsibility of the customer to ensure that the data uploaded with the use of panelDrive® platform is done in accordance with current Danish law.
14.1 All data entered into panelDrive® platform is not accessible to others. panelDrive® thus treats all data with confidentiality.
14.2 All panelDrive® features is running by SSL-encryption.
14.3 panelDrive® has created the platform with a high level of security to prevent unauthorized access to this data.
15.1 Any disputes shall be settled by panelDrive® statutory home court.
